("JRH," "we," "us," or "our") to provide professional accounting, tax, or consulting services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use this Site or engage our services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site or services following any changes constitutes your acceptance of the revised Terms.

Professional Services

JRH & Associates, Inc. is a professional accounting, tax, and business consulting firm. The information provided on this website is for general informational purposes only and does not constitute professional accounting, tax, legal, or financial advice. The content of this website should not be relied upon as a substitute for consultation with qualified professionals.

The provision of professional services by JRH & Associates is subject to a separate written engagement agreement between JRH and the client. These Terms do not create a client-accountant relationship. Such a relationship is established only upon execution of a written engagement letter signed by an authorized representative of JRH.

Engagement Agreement

All professional engagements are governed by a written engagement letter that sets forth the scope of services, fees, timelines, and other terms specific to your matter. In the event of any conflict between these Terms of Service and the terms of an executed engagement letter, the engagement letter shall control with respect to the professional services described therein.

By engaging JRH for professional services, you acknowledge that:

• You have reviewed and agreed to the applicable engagement letter
• The scope of services is limited to what is described in that engagement letter
• JRH is not responsible for services or outcomes outside the agreed scope
• Timely delivery of required information by the client is essential to meeting filing deadlines

Client Responsibilities

When engaging JRH for professional services, you agree to:

• Provide complete, accurate, and timely information, documents, and records as requested
• Promptly review and approve documents and returns prepared on your behalf
• Notify JRH immediately of any material changes to your financial situation, business structure, or personal circumstances
• Maintain adequate records in accordance with applicable law
• Not hold JRH responsible for errors or omissions resulting from incomplete, inaccurate, or untimely information provided by you

JRH's work product is prepared based on information you provide. We do not audit or independently verify the accuracy of information supplied by clients unless specifically engaged to do so.

Fees and Payment

Our fees for professional services are set forth in the applicable engagement letter. Unless otherwise agreed in writing:

• Fees are due and payable upon receipt of invoice
• Accounts outstanding beyond 30 days may be subject to a late fee
• JRH reserves the right to suspend or terminate services for accounts that remain unpaid
• Fees for additional services outside the agreed scope will be discussed and agreed upon before work commences
• Retainers, when required, are applied against fees earned and are non-refundable to the extent services have been rendered

Confidentiality

JRH & Associates, Inc. maintains strict professional confidentiality standards consistent with our obligations under the AICPA Code of Professional Conduct, the Gramm-Leach-Bliley Act, and applicable New York State regulations governing licensed CPAs.

We will not disclose your confidential information to third parties except as described in our Privacy Policy, as required by law, or as expressly authorized by you in writing. Our confidentiality obligations survive the termination of any engagement.

Intellectual Property

All content on this website, including but not limited to text, graphics, logos, icons, images, and software, is the property of JRH & Associates, Inc. or its content suppliers and is protected by applicable United States and international copyright, trademark, and other intellectual property laws.

You may access and use this Site for personal, informational, and non-commercial purposes only. You may not:

Termination of Services

Either party may terminate a professional engagement upon written notice to the other party, subject to the terms of the applicable engagement letter. Upon termination:

• You remain responsible for all fees for services rendered through the date of termination
• JRH will return your original documents and records upon request and payment of outstanding balances
• JRH will cooperate with any successor accountant or advisor you designate
• Confidentiality obligations of both parties survive termination

JRH reserves the right to withdraw from an engagement where circumstances arise that, in our professional judgment, impair our ability to continue the engagement consistent with professional standards and ethical obligations.

Governing Law and Dispute Resolution

These Terms of Service and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or related to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in Nassau County, New York, and you hereby consent to the personal jurisdiction of such courts.

Before initiating any legal action, you agree to first contact JRH in writing to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes through direct communication.
